Additional restrictions on corporate procedures for specific companies in Belarus

Presidential Edict No. 386 of October 31, 2022 amended Edict No. 93 of March 14, 2022 “On Additional Measures to Ensure the Stable Functioning of the Economy”.

According to the amendments (in addition to restrictions on transactions on alienation (purchase and sale) of shares in Belarusian companies according to the list), bans are introduced on such corporate procedures as (i) reorganization of a legal entity included in the list of the Council of Ministers, as well as (ii) withdrawal from such a legal entity of a shareholder who is a person from a foreign state that commits unfriendly actions against Belarusian legal entities and (or) individuals.

Currently, the list of the Council of Ministers includes 190 companies of the Republic of Belarus.

The Edict also establishes a direct ban on the state registration of corporate documents (charters, amendments and additions to them) in connection with the above corporate procedures.

The changes came into force on November 1, 2022.
